These Terms and Conditions ("Terms") govern access to and use of the NeraPOS website, applications, point-of-sale system, modules, integrations, and related services provided by alraqm alsaabi Establishment For Trading, national number 7012576893, Jeddah, Saudi Arabia ("NeraPOS", "we", "us", or "our"). By creating an account, activating a trial, purchasing a subscription, or using NeraPOS, you agree to these Terms and our Privacy Policy.
Eligibility and Authority
NeraPOS is designed primarily for businesses, merchants, sole proprietors, organizations, and adult professionals. You must be at least 18 and have legal capacity to enter into these Terms. If you use NeraPOS for an organization or another person, you represent that you are authorized to bind them. References to a "customer" include the account owner and the business or professional activity for which the account is used. Nothing in these Terms removes a mandatory right that applies to a person who legally qualifies as a consumer.
Accounts and Security
You must provide accurate information, protect account credentials, assign appropriate user permissions, and promptly notify us of suspected unauthorized access. You are responsible for activities performed through your account except where caused by our breach of these Terms or applicable law.
The NeraPOS Service
NeraPOS provides business-management functionality that may include point of sale, inventory, accounting, reporting, customer and employee management, subscriptions, and optional third-party integrations. Features may depend on the selected plan, country, configuration, hardware, provider availability, and applicable law. We may improve or modify features while taking reasonable steps to avoid material disruption.
Subscriptions, Payments, and Cancellation
The selected plan, included features and limits, billing period, currency, total price, applicable fees, and taxes are displayed before payment. NeraPOS is not currently registered for VAT and does not charge VAT unless the checkout or invoice expressly states otherwise. HyperPay and its participating payment providers process online payments. A subscription is formed when payment is approved and NeraPOS confirms activation electronically.
A one-time 14-day trial may be activated only when an eligible customer first registers. Unless expressly stated otherwise, the trial does not require payment and does not automatically become a paid subscription. Trial access ends after 14 days unless the customer manually purchases a plan.
Subscriptions do not renew automatically. Each subscription provides access only for the period purchased. To continue, the customer must make a new manual payment before or after the current period expires. If payment is not made, access may expire or be suspended without creating a charge for a new period. A customer cancels future service by not making the next payment; no separate cancellation fee applies.
Because access to the digital service is activated after payment, paid fees are non-refundable once the customer has used or benefited from the service. This rule does not exclude any refund, cancellation, or other remedy that cannot lawfully be waived, including any right that applies where an eligible consumer has not used or benefited from the service or where service delivery is delayed beyond a mandatory legal period. Any approved refund is returned through the original payment channel where practicable.
Business Data and Responsibilities
You retain ownership of the business data you submit to NeraPOS. You grant us the limited rights necessary to host, process, transmit, back up, and display that data to provide, secure, support, and improve the user-facing service. You are responsible for the accuracy and lawfulness of your data, obtaining required notices and consents, configuring permissions and integrations, maintaining appropriate backups and records, and complying with tax, accounting, employment, consumer, and privacy obligations applicable to your business.
Google Sheets and Third-Party Integrations
Optional integrations are enabled and controlled by the business administrator. When Google Sheets is connected, NeraPOS may create or manage the spreadsheet selected by the administrator and write the NeraPOS datasets and columns selected by that administrator. The administrator is responsible for choosing the correct Google account and spreadsheet, controlling who can access the spreadsheet, and reviewing synchronization settings. The integration may clear and replace data within destination worksheet ranges as part of synchronization.
You may disconnect Google Sheets at any time. Your use of Google services is also subject to Google's terms and policies. Third-party services are operated independently, and their availability, changes, and acts are outside our control. Our collection and use of Google user data is described in the NeraPOS Privacy Policy.
Acceptable Use
You must not use NeraPOS to violate law or third-party rights; introduce malware; bypass security or access controls; probe or disrupt the service; access another customer's data; misuse APIs; resell the service without permission; send unlawful or unsolicited communications; or store or process data you are not authorized to use.
Intellectual Property
NeraPOS and its licensors retain all rights in the service, software, designs, trademarks, documentation, and related materials. These Terms grant you a limited, non-exclusive, non-transferable right to use the service during your authorized subscription. They do not transfer ownership of NeraPOS intellectual property.
Availability, Suspension, and Termination
We work to keep NeraPOS available and secure but do not guarantee uninterrupted or error-free operation. Maintenance, internet failures, third-party outages, security events, or circumstances outside reasonable control may affect availability. We may suspend or terminate access for non-payment, material breach, unlawful use, security risk, or where required by law.
When a paid or trial period ends, the account becomes inactive and service access may be restricted. Customers should export any data they need before access ends. As detailed in the Privacy Policy, the system may issue inactivity warnings at approximately 6, 9, and 11 months; selected non-regulatory files may be removed after 12 months of continuous inactivity; and permanent deletion may be considered only after at least 24 months and an administrative review. Legally protected transaction, accounting, tax, and ZATCA records may be retained for longer. Renewal before cleanup or deletion restores active status, subject to plan availability.
Disclaimers and Limitation of Liability
To the maximum extent permitted by law, NeraPOS is provided on an "as available" basis. You remain responsible for business, accounting, tax, employment, inventory, and compliance decisions and should verify reports and exports before relying on them. We do not exclude liability that cannot lawfully be excluded. To the extent permitted by law, we are not liable for indirect, incidental, special, or consequential losses, loss of profit or business, or losses caused by customer configuration, unauthorized account use, inaccurate customer data, or third-party services.
Changes to These Terms
We may update these Terms to reflect service, legal, security, or operational changes. We will publish the updated Terms at this URL and update the date above. Where a change materially affects an active subscription, we will provide the notice required by law and will not retroactively change the price or paid period. Continued use after the effective date constitutes acceptance to the extent permitted by law.
Applicable Law and Disputes
These Terms are governed by the laws and regulations of the Kingdom of Saudi Arabia. The parties should first attempt in good faith to resolve a dispute by contacting us. Subject to any mandatory forum or consumer right, disputes are submitted to the competent courts in Jeddah, Saudi Arabia. The Arabic version governs if there is a conflict between the Arabic and English versions.
